Terms of Use for American Travel Alliance

By using American Travel Alliance’s website (the “Site”) and its services, you agree to adhere to the following Terms of Use. We reserve the right to terminate your access to the Site, in whole or in part, or cancel any subscriptions at any time without notice, for conduct that we believe is fraudulent, abusive, violates any law, or is harmful to others’ interests. You are prohibited from using any of the Site’s trademarks or copyrighted materials to create links to or from the Site without explicit written permission from American Travel Alliance (“American Travel Alliance”).

In jurisdictions that do not allow the exclusion of implied warranties, such disclaimers may not apply to you. Similarly, in jurisdictions that do not allow limitations on how long an implied warranty lasts, the above limitations may not apply to you.

In no event will American Travel Alliance, or any persons or entities involved in creating, producing, or distributing the Site, be liable for damages, including any direct, indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the Site. This includes, but is not limited to, reliance by a user on any information obtained from the Site; or mistakes, omissions, interruptions, deletion of files or email, errors, defects, viruses, delays in operation, or transmission, or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction, or unauthorized access to our records, programs, or services. The above limitation of liability shall apply whether in an action of contract, negligence, or other tortious action, even if an authorized representative of American Travel Alliance has been advised of or should have knowledge of the possibility of such damages. In jurisdictions that do not allow the exclusion or limitation of incidental or consequential damages, the above limitation or exclusion may not apply to you.

To the fullest extent permitted by law, American Travel Alliance’s liability for any claims arising out of any kind of legal claim connected to the use of the Site will be limited to the amount you paid, if any, for the use of services or products provided.

Changes to the Terms

American Travel Alliance reserves the right to modify these Terms of Use at any time. Changes become effective immediately upon posting on the Site.

Governing Law and Jurisdiction

These Terms of Use are governed by the laws of the State of New York, USA, without regard to its conflict of law provisions. All disputes arising out of or related to your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, and you agree to submit to the personal jurisdiction and venue of these courts. Prior to bringing any dispute, you must engage in good faith efforts to resolve any dispute directly through consultation and negotiation, which shall be a precondition to either party initiating a lawsuit or arbitration.

Miscellaneous Provisions

These Terms of Use constitute the entire agreement between you and American Travel Alliance regarding the use of the Site and supersedes all prior agreements and understandings, whether written or oral. The laws of the State of New York will govern any legal matters not subject to arbitration as described in these Terms of Use without regard to its conflict of laws principles. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. If any provision of these Terms of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.
